Regarding (1) whether an employer may lawfully provide in an employment contract that the employer shall own all patent rights to products or processes developed by an employee during the course of the employee's employment with the employer and (2) whether the employer may include in its employment contract a noncompetition clause restricting employees who terminate their employment from engaging in competition with the employer for a specified time.
